Terms of Service

1. Acceptance & Master Agreement

By executing an order form, blueprint booking, or utilizing the web properties, software platforms, and staffing services provided by Strings4u AI Solutions Inc. ("Strings4u"), you ("Client") agree to be legally bound by these Terms of Service.

These Terms, together with any written Statement of Work (SOW) or custom Blueprint generated through our architecture console, constitute the entire agreement between the parties and supersede all prior discussions or agreements.

2. Dedicated Offline Workforce Services

Where Client contracts for dedicated offline teams (Sales SDRs, Software Developers, Operations Specialists, or Data Analysts):

• 100% Dedicated Assignment: Assigned personnel work solely on Client projects and will not be shared across multi-tenant accounts.
• Physical Facility & Oversight: Team members are situated within our secure physical delivery hub equipped with enterprise-grade workstations, backup power, gigabit fiber, and floor management.
• Free Replacement Guarantee: If a team member does not meet Client requirements, Client may request a replacement within the initial 30 days of placement. Strings4u will source, vet, and onboard an alternative specialist within seven (7) business days at no additional fee.

3. Intellectual Property Ownership (Work-for-Hire)

We adhere strictly to a 100% Client Ownership standard:

• All custom source code (Next.js, Python, Three.js), database schemas, custom AI pipelines, and n8n orchestration blueprints developed under an active SOW belong exclusively to Client upon full settlement of applicable fees.
• Strings4u retains zero intellectual property rights or licensing liens on Client software or proprietary deliverables.
• Strings4u provides complete handover of Git repositories, environment credentials, and architectural documentation upon project milestones.

4. Confidentiality & Bilateral NDA

Both parties agree to treat all business plans, customer lists, architectural blueprints, financial terms, and source code as strictly confidential. Strings4u covenants that no Client intellectual property or customer data will be accessed by unauthorized personnel, exported outside isolated client environments, or used for competitor engagements.

5. Fees, Invoicing & Payment Terms

• Retainers: Dedicated pod retainers are invoiced monthly in advance in USD or CAD as specified on the contract schedule.
• SaaS Milestones: Custom software developments are structured on milestone completion schedules (e.g., 50% deposit, 50% production sign-off).
• Payment Methods: Electronic payments are supported via wire transfer, ACH, or credit card via Stripe.
• Cancellation: Monthly dedicated pod services may be cancelled with 30 calendar days written notice following any initial commitment term.

6. Warranties & Limitation of Liability

Strings4u warrants that all services will be executed in a professional, workmanlike manner in accordance with high industry standards. Except as expressly stated, software and automation pipelines are delivered "as is". In no event shall Strings4u's aggregate liability exceed the total fees paid by Client during the three (3) months preceding the incident.
